1. Scope and contractual documents
These terms apply primarily to B2B sales of equipment, mobile-system integration, commissioning, training and cleaning services. A contract is formed only by written acceptance of a quotation or order confirmation. In case of conflict, the signed specific contract, then the order confirmation, then these terms apply.
2. Quotations, estimates and orders
Website descriptions, visuals, calculators and price estimates are non-binding. Technical feasibility, aircraft configuration, pressure, flow, chemistry, payload, vehicle capacity, site access and aviation rules are confirmed during project review. A change to scope, quantities or site conditions may require a revised quotation.
3. Prices, VAT and payment
Unless expressly stated otherwise, B2B prices exclude VAT, customs duties, permits, travel, accommodation, freight, unloading, civil works and third-party fees. Currency, deposit, milestones, due date and bank details appear in the quotation. Late payment may suspend production, delivery, service or support to the extent permitted by law.
4. Delivery, title and risk
Delivery date is an estimate until the order, deposit, technical approval and required client information are received. The applicable delivery place and Incoterms® 2020 rule, if any, must be stated in the quotation. Risk and title pass as specified there and under applicable law. The client must inspect delivery promptly and document visible transport damage before acceptance.
5. Export, customs and end use
The buyer supplies accurate consignee, end-user, destination and use information, obtains import permits and pays destination taxes unless agreed otherwise. HI-DRONIC may screen sanctions, embargoes and export-control requirements and may pause or refuse a transaction that would be unlawful. Products are not automatically classified as dual-use; licensing is assessed case by case.
6. Equipment conformity and warranty
Only the specification, serial-number documentation, EU declaration of conformity and class label delivered with the unit are authoritative. C5 or C6 may be claimed only where that documentation and physical marking support it. Warranty duration, exclusions, transport allocation, preventive maintenance and response level are product-specific and stated in the quotation or warranty document.
7. Services and weather
Cleaning dates depend on safe access, weather, aviation restrictions, water and power availability, client approvals and surface compatibility. Safety-related postponement is not a failure to perform. The parties agree rescheduling, mobilisation costs and cancellation terms in the quotation. No energy-yield, permanent-cleanliness or stain-removal result is guaranteed unless written into the contract.
8. Client duties and site permissions
The client provides correct site information, lawful access, a safe work area, known hazards, utility points and owner or occupier permission. It identifies sensitive materials, electrical risks, asbestos, fragile surfaces and environmental constraints. Flight authorisation, geographical-zone coordination, controlled ground area and third-party permissions are allocated in writing before a drone mission.
9. Training and authorised operation
Training, commissioning and manuals do not replace a remote-pilot competency certificate, operational authorisation, STS declaration or national permission. Equipment must be operated by trained persons, within the approved configuration and the strictest limit in the manual, declaration, operations manual and authorisation. SOLARBOT and HI-BRUSH do not require aviation authorisation, but workplace, electrical, water-runoff and property rules still apply.
10. Acceptance and claims
Integration projects may include factory or site acceptance tests defined in the quotation. The client reports apparent defects without undue delay and provides photographs, serial numbers and operating logs. HI-DRONIC may inspect, repair, replace or otherwise remedy a valid defect in the manner required by the contract and mandatory law.
11. Intellectual property and brand
HI-DRONIC retains its drawings, software, methods, catalogues, trademarks and know-how. The client receives only the use rights expressly needed for the purchased system. Reverse engineering, removal of safety labels, misleading rebranding and publication of confidential technical files are prohibited except where mandatory law permits.
12. Photos, reports and confidentiality
Site images and reports are used to perform and document the project. Marketing use requires a contractual basis or separate permission where necessary. Each party protects confidential commercial, technical and security information and shares it only with personnel and subcontractors who need it.
13. Liability, insurance and force majeure
Each party remains responsible for its own legal duties and insurance. Liability limits and exclusions, if agreed, appear in the specific contract and never exclude liability that cannot legally be limited. Neither party is liable for delay caused by events beyond reasonable control, including airspace closure, severe weather, authority action, supply disruption or transport interruption, provided it mitigates and informs the other party.
14. Suspension, termination and subcontractors
HI-DRONIC may use qualified subcontractors while remaining responsible within the agreed scope. Work may be suspended for non-payment, unsafe conditions, missing approvals or unlawful instructions. Termination rights, demobilisation costs and treatment of customised goods follow the signed contract and applicable law.
15. Governing law and disputes
Unless a specific contract states otherwise, B2B contracts are governed by Czech law, excluding conflict-of-law rules and the CISG where lawfully agreed. The parties first seek an amicable solution for 30 days; Czech courts competent for Prague then have jurisdiction. Mandatory consumer jurisdiction and rights remain unaffected.
